Tailored Services - Terms and Conditions
The following sets out the terms under which IFA Systems Ltd will
create a customised website for you, designed especially to your
stated requirements.
It also clarifies what we need from you in order to carry out the
work. On your acceptance of our initial proposals we will send you
a hard copy of these Terms for you to sign and return to us before
we will proceed with any work on your behalf.
Initial proposals
On receiving your initial enquiry for a website we can either
meet you at our offices to discuss your requirements or we can communicate
by phone and e-mail. The first hour of an initial meeting is given
free, thereafter we charge our standard rate, half of which is reimbursed
if you decide to engage our services.
We will then write to you outlining how we envisage your site could
be constructed. We will give suggestions for the subject heading
for the main pages, how these pages could be linked and the site
navigated, possible on-line forms and links, and describe all available
technical solutions. For smaller projects we will be able to give
an indication of price and timescale at this stage. For larger projects
we usually recommend that the work be handled in stages, each stage
being priced and timed accordingly as the work develops.
When you have agreed to our outline proposals we may need to obtain
further details from you in order to refine our suggestions in terms
of the look and feel of the site, its size and, most importantly,
the navigation. We will use text you provide in electronic format,
and advise on how best to display it. We will also examine any logos
or other images you can supply and will confirm if they are suitable
for web use. We will give an estimate of the costs involved to the
best of our ability and understanding, along with an estimate of
likely timescales. Larger projects will be handled in stages, with
costs being agreed in advance for each stage before any work is
commenced.
Usually it is possible to handle customised work without further
meetings, but if you prefer to meet us again we will make an additional
charge for the time involved.
We can provide consultancy advice on setting up your site, writing
copy, developing your corporate image, and on marketing your site,
and if required will give a separate quotation for this service.
Refining our proposals
On receipt of your written approval and a signed copy of these
Terms we will proceed with creating a unique "look and feel"
for your site which reflects your firm's existing corporate image.
Existing logos can be incorporated as standard onto your site
provided
they are available on disc or by e-mail and can be readily web-enabled.
If we need to work on any logo or image you supply, to make it
usable
and faster on your site, we will make an additional charge based
on time taken.
If you do not have a clear corporate image or logo, and you require
us to create one, we would be happy to do this on a time basis.
We will discuss with you in detail your requirements and submit
proposals for your comment and approval, which will then form the
basis for the design of the whole site.
IFA Systems have developed a comprehensive range of Website
Add-ons which can be added to your website at any time. If any of these
are required within your site from the outset, our quotation will
include for their incorporation. Those which have an associated
monthly cost will be subject to a Direct Debit, to be completed
and returned for action when the website is launched.
We will enable you to view initial graphic proposals on-line, for
approval or comment before proceeding further.
Building your website
We will use the text you provide us with, breaking it down into
suitable portions for each page if necessary. If we feel more work
is needed to adapt your text to suit the Internet we will let you
know - attention spans are notoriously short, and text needs to
be kept concise and easy to scan. If preferred we can write text
following an outline provided by you. We will inform you in advance
of our charges to cover additional work involved in either case.
If, on receipt of further information from you which affects text,
page size or content, or other design factors, we find we need to
adjust our estimate of the cost of your site at any time, we will
let you know in advance.
On receipt of your approval to the design work we will proceed
with building the site as agreed, coding it up and testing it. We
will construct your site so that it can be viewed using current
major browser software, to ensure as many people as possible can
view it reliably. If new browser software becomes available after
we have set up your site, we can adapt your site to accommodate
this if required, but will charge for the work involved on a time
basis.
If we need to purchase any images as part of your website we will
inform you of the cost of the relevant licence fee beforehand. We
will not use any images which are not licensed or clearly stated
as being freely available for use on the Web.
Certain of our Website Add-ons will first require you to
arrange a contract direct with the supplier: we will give you the
necessary
details if this applies to the Add-ons you have chosen.
We will upload our proposals for your site to a private web address,
not accessible to the general public, and will ask you to view the
site on-line. We request your approval or comments within 5 working
days in order to keep to the agreed schedule. If you require any
major changes to be made to the site before publication we will
inform you of the cost before carrying out any work. We will endeavour
to work with you in ensuring your site achieves compliance approval,
but the final responsibility for the wording of your own text remains
with you. If we supply text for any part of your site (eg in the
form of generic information) then we will take responsibility for
its accuracy and compliance.
For those clients who are members of a Network we will submit
a link to your Network's compliance
department for
their approval. Directly authorised clients should make their own
arrangements to obtain the necessary compliance approval. Work
on
any amendments subsequently requested will be charged
for on an hourly basis, unless affecting text supplied by ourselves
(eg the generic information), which
we will
amend
at no further charge.
Copyright and Intellectual Property Rights (IPR)
Copyright on any text, logos or images which you supply to us
shall remain in your name. Copyright and IPR for any work we carry
out on your behalf, including the concept, original design, navigation
methods and coding, remains with IFA Systems Ltd and its partner
firms.
Payment
Where a staged estimate is provided, payment is required in full
against the invoice for each stage before we proceed further.
On receipt of your approval to the final site we will invoice you
for the remaining work involved, and will upload your site to its
final location on receipt of full payment. Any work carried out
subsequently, whether as amendments or additions to your site, will
be charged for at our normal hourly rate, if possible an estimate
of the time involved being given to you before we start work.
Our terms are strictly 14 days net. All work will remain the property
of IFA Systems Ltd until paid for in full. VAT will be added to
the total amount charged at the current rate.
